Division 7A & UPEs (Bendel Decision)
The High Court’s decision in Bendel is a major shift in how we approach unpaid present entitlements (UPEs) for corporate beneficiaries. Importantly, the Court confirmed that a UPE is not automatically a loan for Division 7A purposes, rejecting the ATO’s broader interpretation. Instead, there must be a clear obligation to repay a principal sum, along with some form of financial accommodation or value transfer. Simply leaving funds in the trust – even knowingly – is not enough.
For our team, this means moving away from a “one-size-fits-all” approach and instead carefully analysing each arrangement. The key will be reviewing trust deeds, resolutions, and behaviour to determine whether a genuine loan exists. While this decision is favourable, it’s not a free pass — especially with the ATO expected to update its guidance soon.

The release of the Federal Budget no doubt gave us some brilliant opportunities to service our clients and showcase our skills to the industry.
Our advocacy efforts brought us nation-wide attention, and our partners continue to campaign against the unintended effects of the proposed changes to how trusts are taxed. You can read our advocacy article on our website here.

For example “donation receipt” should be filed as “<company name> donation receipt <yyyymmdd>”.
